These Terms of Use ("Terms", "Agreement") form a legally binding contract between you ("User", "you", "your") and ArzyNet ("ArzyNet", "we", "us", "our") governing your access to and use of the arzynet.net website, our mobile applications, dashboards, APIs and every related service we provide (collectively, the "Platform"). By registering an account, making a deposit or using the Platform in any way, you confirm that you have read, understood and fully agreed to be bound by these Terms.

2. Eligibility & Account Requirements

You may use ArzyNet only if you meet every one of the following requirements:

• You are at least 18 years old, or the legal age of financial consent in your jurisdiction — whichever is higher.
• You have the full legal capacity to enter into binding agreements and operate financial accounts in your country of residence.
• You are not a resident of, nor physically present in, a jurisdiction where ArzyNet's services are restricted or prohibited.
• You are not listed on any international sanctions registry, including (but not limited to) OFAC, UN, EU and UK sanctions lists.
• You are using the Platform exclusively for your own personal purposes and not on behalf of any third party without disclosed authorization.
• The funds you deposit originate from legitimate, lawful sources that can be verified during our AML checks.

3. Account Registration & Verification

Opening an ArzyNet account requires accurate, complete and up-to-date personal information. By registering, you agree to the following responsibilities:

• Provide genuine identification data during the KYC (Know Your Customer) process.
• Promptly update your profile whenever any of the information changes.
• Maintain only one active ArzyNet account per individual — multi-accounting is strictly prohibited.
• Keep your login credentials, 2FA codes and recovery details confidential at all times.
• Immediately report any suspicious activity, unauthorized login or compromised credentials to [email protected].
• Accept full responsibility for every action performed under your account, regardless of who performed it.

ArzyNet reserves the right to suspend, freeze or terminate any account that fails verification, provides misleading information or shows indicators of fraudulent activity.

4. Scope of ArzyNet Services

ArzyNet provides a technology-driven platform that gives users access to automated AI trading tools, real-time market analytics, portfolio dashboards, structured digital investment products and related financial infrastructure delivered through our licensed banking and liquidity partners. ArzyNet acts as a technology operator — not as a bank, broker-dealer or investment advisor — and does not provide personalized financial, legal or tax advice.

All trading operations executed by the AI engine on your behalf are based on algorithmic strategies, not personal recommendations. You remain the ultimate owner of your funds and the sole decision-maker regarding deposits, withdrawals and whether to activate or deactivate automated trading at any point.

5. Deposits, Withdrawals & Fees

Financial operations on ArzyNet are governed by the following rules:

• The minimum deposit required to activate AI trading is $250 (or its equivalent in supported currencies).
• Deposits are accepted via approved payment methods only — including major cards, bank transfers and selected cryptocurrencies.
• Withdrawal requests are processed within 2 hours on average and returned to the same payment method used for the original deposit, in accordance with international AML standards.
• ArzyNet does not charge any hidden fees. All applicable commissions, spreads and payment-provider costs are disclosed before any transaction is confirmed.
• Users are solely responsible for any taxes, duties or reporting obligations that apply to their trading activity under local law.
• ArzyNet reserves the right to delay or reject a transaction when fraud, sanctions violations or AML concerns are detected.

6. AI Trading & Automated Execution

ArzyNet's proprietary AI engine executes trading operations autonomously on your behalf once you activate the automated mode. By using these features, you acknowledge and accept the following:

• All trades are executed based on algorithmic logic and real-time market conditions, without human discretion for each individual order.
• Historical performance of the AI engine is not a guarantee of future results.
• You can pause, resume or deactivate automated trading from your dashboard at any time.
• ArzyNet is not liable for market-driven losses occurring within the ordinary course of trading operations.
• You accept the inherent volatility of global financial markets and understand that the value of your portfolio can decrease as well as increase.

7. User Obligations & Prohibited Conduct

To keep the Platform safe and compliant for every user, you agree not to engage in any of the following behaviours:

• Using ArzyNet for any unlawful purpose, including money laundering, fraud, tax evasion or terrorism financing.
• Impersonating another individual, creating fake accounts or using someone else's identity.
• Attempting to reverse-engineer, decompile, scrape, clone or exploit the Platform or its underlying algorithms.
• Interfering with Platform availability through denial-of-service attacks, malware, bots or any form of abusive automation.
• Uploading or distributing content that is illegal, defamatory, harassing or infringes third-party rights.
• Sharing, selling or transferring your account to another individual.
• Circumventing geographical restrictions through VPN, proxies or false declarations about your country of residence.
• Abusing promotional offers, bonuses or referral programs through fraudulent means.

Violations may result in immediate account suspension, forfeiture of promotional benefits, legal action and reporting to the appropriate regulatory authorities.

8. Risk Disclosure

Every form of investment activity involves inherent market risk. The value of your capital on ArzyNet may fluctuate — it can decrease as well as grow, and there is a possibility you will receive back less than your initial deposit. Never allocate funds that you cannot afford to lose. Past trading results and historical algorithm performance do not guarantee any future returns.

ArzyNet is a technology-driven platform that unites automated AI trading instruments with licensed financial infrastructure within one seamless ecosystem. We do not provide guaranteed income promises and accept no liability for individual investment losses. Please make every financial decision with full awareness, personal responsibility and only after assessing your own risk tolerance.

9. Intellectual Property Rights

The ArzyNet brand, logo, software, source code, AI algorithms, user-interface design, documentation, trademarks, images and all other materials made available through the Platform are the exclusive intellectual property of ArzyNet or its licensors, protected by international copyright and trademark law.

You are granted a limited, non-exclusive, non-transferable and revocable license to use the Platform solely for your personal, non-commercial purposes in accordance with these Terms. You may not copy, reproduce, distribute, publicly display, create derivative works from, or exploit any part of the Platform without ArzyNet's prior written permission.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ArzyNet, its affiliates, directors, officers, employees, agents and partners shall not be liable for:

• Any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, data, goodwill or business opportunity.
• Losses resulting from market volatility, algorithmic trading outcomes, or decisions you took based on information displayed on the Platform.
• Interruptions, delays or errors caused by third-party service providers (payment processors, banking partners, data feeds, telecom networks).
• Unauthorized access to your account caused by your failure to protect credentials or activate 2FA.
• Events of force majeure, including natural disasters, war, pandemics, government actions or large-scale infrastructure failures.

In no event shall ArzyNet's aggregate liability toward any user exceed the total amount of fees that user paid to ArzyNet during the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend and hold harmless ArzyNet, its affiliates, officers, directors and employees from and against any claim, demand, loss, damage, cost or liability (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms, (b) your misuse of the Platform, (c) your violation of any applicable law or regulation, (d) your violation of any third-party rights, including intellectual property or privacy rights.

12. Suspension & Termination of Account

ArzyNet may suspend or terminate your account, at its sole discretion and without prior notice, in the following circumstances:

• You breach any provision of these Terms or any related ArzyNet policy.
• You fail KYC or ongoing AML verification requirements.
• You engage in fraudulent, abusive or manipulative activity on the Platform.
• A regulator, court or law-enforcement authority instructs ArzyNet to do so.
• Your account remains inactive for an extended period as defined in our internal policies.

You may close your ArzyNet account at any time by contacting [email protected]. Any remaining balance will be returned to the original payment method, subject to AML and legal verification.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the United States and the State of Maryland, without reference to its conflict-of-law principles. Any dispute, claim or controversy arising out of or relating to these Terms shall first be attempted to be resolved amicably through good-faith negotiations between you and ArzyNet's support team.

If a dispute cannot be resolved amicably within 30 days, it shall be submitted to binding arbitration administered under internationally recognized rules, conducted in English, with the seat of arbitration in Maryland, United States. Nothing in this section shall prevent either party from seeking urgent injunctive relief from a competent court when necessary to protect its legitimate rights.

14. Modifications to these Terms

ArzyNet reserves the right to amend, revise or update these Terms of Use at any time to reflect new features, legal requirements or market developments. Material changes will be announced through your registered email and inside the ArzyNet dashboard at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the amendments, you may close your account and withdraw your balance before the new Terms become effective.

15. Miscellaneous Provisions

• Entire Agreement: these Terms, together with the Privacy Policy and all referenced documents, constitute the complete agreement between you and ArzyNet.
• Severability: if any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
• No Waiver: ArzyNet's failure to enforce any right or provision does not waive its ability to enforce it later.
• Assignment: you may not assign your rights or obligations under these Terms without ArzyNet's prior written consent. ArzyNet may assign its rights freely as part of corporate restructuring or acquisition.
• Headings: section headings are for convenience only and do not affect the interpretation of these Terms.
• Language: the English version of these Terms is the authoritative version. Any translated version is provided for convenience only.
